Submit Your Materials

Please email Rick Bashkoff at bashkoff@receptivecap.com with a 2-3 sentence description of your business and your deck. We’ll be sure to review within one week and inform you if we’d like to schedule a time to discuss the investment opportunity.

Due Diligence Materials Request List

Once we review your deck and we mutually decide to move forward, we’ll enter our due diligence process. Below is a list of items we request. These items are not required but rather a list for you to consider. We do not require a specific format. For example, if your operating plan and marketing plan are part of a comprehensive business plan, simply submit your business plan and we’ll figure it out. We’re not looking to create work.

Corporate Documents

  1. Formation documents, State filings

  2. Company By-Laws / Operating Agreements

  3. Licenses / Permits

  4. Corporate Governance Documents (share issuance, meeting minutes, etc.)

  5. Executive Team Bios & References

  6. Cap Table

Investment Opportunity

  1. Deck with overview of market and investment opportunity

  2. Term Sheet

Financials

  1. Prior 12 months financials

  2. Sales projections (minimum 2 years)

  3. Use of funds / Operating budgets

Assets

  1. Real Estate

  2. Equipment

Marketing

  1. Marketing plan

  2. Brand assets and guidelines

Operations

  1. Operating Plan

  2. Founder / Management Bios

  3. 2-3 business references per founder
